MEMORANDUM OF ASSOCIATION

ACTION COMMITTEE UNAIDED RECOGNISED PRIVATE SCHOOLS

NAME OF THE ASSOCIATION - The name of the association shall be “ACTION COMMITTEE - UNAIDED RECOGNISED PRIVATE SCHOOLS

REGISTERED OFFICE OF ASSOCIATION - The office of the association shall remain in the Union Territory of Delhi and at present is at the following Address : BAL BHARATI PUBLIC SCHOOL Gangaram Hospital Marg, New Delhi-110060

AIMS AND OBJECTS - The aims and objects for which the Association is established are as under:

i) To advance, promote, cultivate, improve, help diseminate and encourage generally amongst the Unaided Recognised Private Schools in the National Capital Territory of Delhi, the quality of education, governance and management, evolve uniform code of conduct, which will improve the image, quality and strength of the Unaided Recognised Private Schools in Delhi.

ii) To co-operate with Education Societies, Management and Education Trusts having objects wholy and partly similar in such a manner as may be conducive in their common objectives.

iii) To take legal action against any order which is contrary to the interests of the Unaided Recognised Private Schools.

iv) To represent the Unaided Recognised Private Schools for negotiation , settlement of any issue with Government or any such agency, etc.

v) To raise requisite funds/loans and other financial assistance to achieve the objectives of the Associations.

vi) To provide expert assistance to any Unaided Recognised Private Schools in the matter of dispute with the Government or any other agency.

vii) To frame schemes, regulations or bye laws and alter, modify or rescind the same.

viii) To vary, change and modify the objects of the Association, if sanctioned by the General Body of the Association.

ix) The Action Committee will be run without any profit motive and on no profit no loss basis.

Income Clause : All the income of the society earning moveable & immovable properties of the society shall be solely utilized and applied towards the promotion of its aim & objects as set forth in the memorandum of society and no portion thereof shall be transferred directly or indirectly or by way of dividend, borrow profits or in society or to a person claiming through any one or more of the present of the past members no member of the society shall have any personal claims on any movable properties of the society or on the profit whatsoever by virtue of his membership.

RULES AND REGULATIONS :
1. Name of the Association : ACTION COMMITTEE - UNAIDED RECOGNISED PRIVATE SCHOOLS
2. Definition
In these rules unless the context otherwise requires:
The Chairman, means the Chairman of the Association. The converner means the convener of the Association and the Coordinator means the Treasurer-cum-Co Convener of the Association.
3. SUBSCRIPTION:
The School/Societies intending to become a member of the Association shall become a member on the Payment of Rs. 5000/- subject to the approval by the Action Committee - Unaided Recognised Private Schools.
4. MANAGING COMMITTEE OF THE ASSOCIATION:
I. Chairman
II. Convener/Secretary
III. Coordinator-cum-Treasurer
5. 27 members apart from the office bearers, nominees of different forums and organizations of Unaided Recognised Private Schools existing in National Capital Territory of Delhi shall form the Executive Committee of the Association.
6. The members including the office bearers of the Executive committee shall hold the office for a period of One year.
7. Every year the members shall elect the members of the Executive Committee at the Annual General Body Meeting.
8. Any person in the field of Education can also be co-opted on the Executive Committee for a period of one Year.
9. The membership may terminate:
a. If any member is found involved in any serious misappropriation of funds of the Society.
b. If the general body by 3/4th majority are of the opinion that it will be harmful to the association to keep any particular person as a member.
10. Powers and Duties of the Office Bearers:
Chairman
He will be the Head of Association and will be presiding over the meeting of the Association.
Convener/Secretary
He shall look after the day-to-day affairs of the Association and in doing so he shall be guided by the Directions of the office bearers and the members of the Managing Committee.
Coordinator-cum-Treasurer
He shall assist the convener in his day-to-day functions. He shall be the incharge of the funds and Maintan proper accounts, registers and documents. He shall be accountable to the Committee. He shall be responsible for the proper maintenance and allocation of funds.

PROCEEDINGS OF THE ASSOCIATION
1. A meeting of the Association to be called “ Annual General Meeting” shall be held once a year. Normally, the meetings of the Association should be called by the Convener/Secretary in consultation with the Chairman. On a requisition received from 1/6 of the total membership of the Association, the Convener/ Secretary shall call a meeting of the members within 14 days from the date of receipt of the Requisition.
2. Questions arising at any meeting shall be decided by a majority vote. In case of a tie, the Chairman shall have a second or the casting vote.
3. The Chairman and in his absence the Secretary/Convener shall preside over the meeting of Association. In their absence the Association shall choose one of its members to preside.
4. A minute book shall be provided and kept by the Convener/Secretary. Minutes of all proceedings of the Association shall be entered in this book and shall be signed by the Convener/ Secretary and the Chairman of the meeting either on the conclusion thereof or at a subsequent meeting when they are duly read and confirmed.
5. Each enrolled member shall have one vote . The vote shall be cast by the members present. The co-opted Members shall not have any voting right. Members whose payment is due to the Association shall have no voting right.
6. ELECTION AND QUORUM CLAUSE
The quorum shall be 30 members of 1/3rd of the total membership, whichever is less and the election will be held either by raising hands or by secret ballot.
The Executives will hold office for a period of one year.
7. A budget and statement of Accounts shall be prepared every year and passed at the Annual General Meeting of the Association. The financial year for the Association’s activites will be from 1st January to 31st December.
8. Every year the accounts of the Association will be audited by an approved auditor appointed by the Association at its Annual General Meeting.
9. Bank Account Operation Clause
The Association shall be empowered to maintain bank accounts of the funds of the Association to be operated jointly by any two amongst the Chairman, the Convener and the Coordinator.
10. Income Clause
The income of the society will come from contributions/donations from members, schools or associations of persons who affirm their faith in the objectives of the Action Committee - Unaided Recognised Private Schools.
11. Annual List of Executive Committee
Once in every year list of the office/bearers and members of the Governing body of the society shall be filed with the Registrar of Societies, Delhi, as required under section 4 of the Societies Registration Act 1860.
12. Legal Proceeding (Section 6 of the Act)
The society may sue of the sued in the name of the President/Secretary as or be sued in the name of the President/Secretary as per provisions laid down under section 6 of the Societies Registration Act 1860 as applicable to the Union Territory of Delhi.
13. Any amendment in the Memorandum of Association or rules will be carried out in accordance with procedure laid down under section 12 and 12A of the Societies Registration Act.
14. Dissolution and Adjustment of Affairs:
If the society need to be dissolved it shall be dissolved as per the provisions laid down under section 13 and 14 of the Societies Registration Act 1860, as applicable to the Union Territory of Delhi, shall apply to this society.
15. Application of the Act :
All the provisions under all the sections of the Societies Registration Act 1860, as applicable to the Union Territory of Delhi, shall apply to this society.
16. Essential Certificate
Certified that this is the correct copy of the Rules and Regulations of the Society.

DISSOLUTION OF THE ASSOCIATION

The Association has been formed for certain limited purposes and objectives and once the job of the Association is over the General Body may through a resolution passed by a majority may dissolve the Association.
